Welcome to somda.live (the "Site"), operated by AGF USA LLC ("SOMDA," "we," "us"), a Florida limited liability company. By using the Site or joining our waitlist, you agree to these Terms of Use. If you do not agree, please do not use the Site.
1. What this Site is
The Site is an informational, pre-launch page for the SOMDA product and a waitlist sign-up for our upcoming crowdfunding campaign. Nothing on this Site is a sale. Joining the waitlist is free, collects no payment, and creates no obligation for you to purchase or for us to sell.
2. Waitlist
- Joining the waitlist reserves early access to our Kickstarter campaign — it does not reserve a device, a subscription, or a price.
- Waitlist benefits (such as the early-access window and founder pricing) are offered as described on the Site at campaign launch and may be adjusted before launch.
- Any pledge you later make will be governed by Kickstarter's own terms of use and the terms of our campaign page, not by these Terms.
3. Forward-looking information
Product features, specifications, images, prices (including the anticipated SOMDA Pro subscription price), tier contents, campaign dates, and delivery estimates shown on the Site are current plans, not promises. Hardware development and crowdfunding involve uncertainty, and details may change before or during the campaign. We commit to communicating changes transparently.
4. Intellectual property
The Site and its content — including the SOMDA name and logo, text, images, product renders, and design — are owned by AGF USA LLC or used with permission, and are protected by copyright and trademark law. You may not copy, modify, or use them for commercial purposes without our written consent. You may share links to the Site freely.
5. Acceptable use
You agree not to misuse the Site — including attempting to disrupt it, probing or breaching its security, scraping it at scale, submitting false information to the waitlist, or using it in violation of applicable law.
6. Third-party links and services
The Site may link to third-party sites and services (such as Kickstarter, LinkedIn, or Google). We are not responsible for their content or practices; their own terms and policies apply.
7. Disclaimer of warranties
The Site is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
8. Limitation of liability
To the maximum extent permitted by law, AGF USA LLC and its members, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or the waitlist. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Our collection and use of personal information is described in our Privacy Policy.
10. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute relating to these Terms or the Site will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction.
11. Changes to these Terms
We may update these Terms as the project evolves. The current version will always be posted here with its effective date; continued use of the Site after changes means you accept the updated Terms.
