Terms of Use

These Terms cover the SOMDA product. The Kickstarter waitlist at /crowdfunding is governed by its own waitlist terms.

1. Agreement

By accessing Mission Control, using a SOMDA device assigned to you, or using somda.live product pages, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. The service

SOMDA provides AI-assisted social triage and presence: metrics and insights via Meta/Instagram APIs you authorize, Mission Control UI, and optional physical device presence. Features may change as we improve the product. Insights are informational — not financial, legal, or professional advice.

3. Accounts and access

Accounts are provisioned by SOMDA (no public self-signup in the current beta).
You must keep credentials confidential and provide accurate information.
Access may be gated by an Access Granted flag until subscription billing is enabled. We may suspend or revoke access for abuse, non-payment (when billing exists), or security reasons.
You are responsible for activity under your account.

4. Instagram / Meta

Connecting Instagram is optional but required for live metrics. You authorize SOMDA to use Meta APIs within the scopes presented. You must comply with Meta’s terms. SOMDA does not post or act as you on Instagram. Meta may revoke tokens; reconnecting may be required.

5. Physical devices

If you receive a SOMDA device, it remains subject to these Terms and any campaign/fulfillment terms that applied to your purchase or pledge. Device software may phone home for pairing, health, and presence. You must not reverse-engineer firmware except where law allows.

6. Subscriptions and fees

SOMDA Pro is intended as a paid subscription. Payment processing is not yet live; during beta, access is granted manually. When payments launch, fees, renewals, and taxes will be disclosed at checkout. Crowdfunding pledges are separate and governed by the campaign platform’s rules.

7. Acceptable use

You may not: misuse the API or scrape beyond authorized use; attempt to access other users’ data; interfere with the service; use SOMDA for unlawful content or harassment; or resell access without our written consent.

8. Intellectual property

SOMDA branding, software, persona, and materials are owned by AGF USA LLC or licensors. You receive a limited, revocable license to use the service for your own accounts. Feedback you send may be used to improve the product without obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted service, perfect metrics, or particular business outcomes.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGF USA LLC AND ITS FOUNDERS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS/DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

11. Indemnity

You will defend and indemnify us against claims arising from your misuse of the service or violation of these Terms or third-party (including Meta) terms, to the extent permitted by law.

12. Termination

You may stop using SOMDA and request account and data deletion as described on our User Data Deletion page. We may suspend or terminate access for breach or risk to the platform. Provisions that by nature should survive (IP, disclaimers, liability limits) survive termination.

13. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Courts in Florida have exclusive jurisdiction, except where consumer law in your country requires otherwise.

14. Changes

We may update these Terms; the effective date will change. Continued use after notice constitutes acceptance where permitted by law.
